Terms of Service

1. Introduction

Welcome to CCGNinja ("Platform"), operated by Forgeborn ("Company," "we," "us," or "our"). CCGNinja is an online marketplace that enables users to buy and sell collectible trading cards, including but not limited to Magic: The Gathering, Pokemon, Yu-Gi-Oh!, and Flesh and Blood.

By creating an account or using the Platform, you agree to be bound by these Terms of Service ("Terms"). If you do not agree, do not use the Platform. We may update these Terms from time to time; continued use after changes constitutes acceptance of the revised Terms.

2. Eligibility

You must be at least 18 years old (or the age of majority in your jurisdiction) to use the Platform. By using CCGNinja, you represent that you meet this requirement and have the legal capacity to enter into a binding agreement.

3. Accounts

You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. You must provide accurate, current information during registration and keep it up to date. You agree to notify us immediately of any unauthorized use of your account.

We reserve the right to suspend or terminate any account at our discretion, including for violation of these Terms, fraudulent activity, extended inactivity, or conduct that harms other users or the Platform.

4. Marketplace Role

CCGNinja is a marketplace platform that connects buyers and sellers. We are not a party to the transactions between buyers and sellers. Sellers are independent third parties and are solely responsible for the items they list, their descriptions, pricing, and fulfillment. We do not own, inspect, or guarantee any items listed on the Platform.

5. Buyer Obligations

• Payment: You agree to pay the full listed price plus any applicable shipping fees at checkout. All payments are processed securely through our third-party payment providers (Stripe and/or Square).
• Order review: Upon receiving your order, you should inspect the items promptly. You may confirm receipt through the Platform, which releases the seller's funds from escrow (see Section 7).
• Accurate information: You must provide a valid shipping address and accurate contact information for order fulfillment.
• Good faith: You agree not to initiate fraudulent disputes, chargebacks, or claims. Abuse of the dispute process may result in account suspension.

6. Seller Obligations

• Accurate listings: You must accurately describe the condition, edition, language, and any other material details of every card you list. Misleading or deceptive listings are prohibited.
• Fulfillment: You must ship orders promptly (within 3 business days of payment, unless otherwise stated in your listing) using appropriate packaging to prevent damage.
• Inventory accuracy: You are responsible for maintaining accurate inventory. Listings must reflect items you currently have in your possession and are able to ship.
• Compliance: You must comply with all applicable laws regarding the sale of goods, including tax collection and remittance where required.
• Payment account: You must maintain a valid, connected payment account (Stripe Connect and/or Square) to receive payouts. Disconnecting your payment account while orders are pending may result in delayed payouts or account suspension.

7. Escrow & Payment Terms

To protect both buyers and sellers, CCGNinja uses an escrow system for all transactions:

• Hold period: When a buyer completes payment, funds are held in escrow for up to 14 days.
• Early release: If the buyer confirms receipt of the order before the 14-day period expires, the seller's payout is released immediately.
• Automatic release: If the buyer does not confirm receipt or open a dispute within 14 days, funds are automatically released to the seller.
• Refunds: If a dispute is resolved in the buyer's favor, the escrowed funds are refunded to the buyer.

Payment processing is handled by our third-party providers (Stripe and Square). By using the Platform, you also agree to their respective terms of service.

8. Fees

CCGNinja charges platform fees on each completed sale. Fees are deducted from the seller's payout:

Platform fees are calculated on the item subtotal only (shipping is excluded). Third-party payment processing fees (e.g., Stripe's 2.9% + $0.30 per transaction) are charged separately and are borne by the Platform, not the seller.

We reserve the right to modify our fee structure with at least 30 days' written notice to active sellers.

9. Dispute Resolution

If a problem arises with a transaction, we encourage buyers and sellers to first attempt to resolve the issue directly. If that is not successful:

• Open a dispute: Buyers may open a dispute through the Platform during the 14-day escrow period.
• Investigation: CCGNinja will review the dispute, which may include requesting evidence from both parties (tracking numbers, photos of items received, etc.).
• Resolution: We will make a determination based on the evidence provided. Possible outcomes include a full refund, partial refund, or release of funds to the seller.
• Final decision: CCGNinja's dispute resolution decisions are final and binding for the purposes of fund release on the Platform. This does not affect your legal rights.

For disputes not resolved through the Platform, you agree to first attempt informal resolution by contacting us. If informal resolution fails, disputes shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association, unless you reside in a jurisdiction where such agreements are unenforceable.

10. Prohibited Items & Conduct

The following items and conduct are strictly prohibited on CCGNinja:

• Counterfeit cards: Listing, selling, or knowingly purchasing counterfeit, replica, or proxy cards represented as authentic.
• Stolen goods: Items obtained through theft, fraud, or other illegal means.
• Non-card items: Items that are not collectible trading cards or directly related accessories (sleeves, binders, deck boxes) as permitted by the Platform.
• Price manipulation: Shill bidding, fake reviews, or artificial inflation/deflation of card prices.
• Harassment: Threatening, abusive, or discriminatory behavior toward other users.
• Account manipulation: Creating multiple accounts to circumvent suspensions, fee structures, or dispute outcomes.
• Scraping & automation: Using bots, scrapers, or automated tools to access the Platform in a manner that violates our robots.txt or imposes an unreasonable load on our infrastructure.

Violations may result in listing removal, account suspension, or permanent ban at our sole discretion.

11. Account Suspension & Termination

We may suspend or terminate your account if you:

• Violate these Terms or any applicable laws.
• Engage in fraudulent, deceptive, or harmful activity on the Platform.
• Accumulate excessive unresolved disputes or negative seller reviews.
• Fail to fulfill orders repeatedly without valid justification.
• Become subject to legal proceedings that affect your ability to transact.

Upon termination: (a) active listings will be removed; (b) pending orders will be handled according to our escrow process; (c) any remaining payout balance will be released according to the standard escrow schedule, less any amounts owed to buyers through disputes. You may request account deletion by contacting us, subject to completion of any open transactions.

12. Intellectual Property

The CCGNinja name, logo, and all Platform content (excluding user-generated content) are the property of Forgeborn and are protected by copyright and trademark law. Trading card names, images, and related intellectual property belong to their respective owners (Wizards of the Coast, The Pokemon Company, Konami, Legend Story Studios, etc.) and are used on the Platform for identification and commerce purposes only.

13. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, CCGNINJA AND FORGEBORN SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING OUT OF OR RELATED TO YOUR USE OF THE PLATFORM, INCLUDING BUT NOT LIMITED TO LOST PROFITS, DATA LOSS, OR DAMAGE TO GOODS IN TRANSIT.

Our total liability for any claim arising from your use of the Platform shall not exceed the greater of (a) the fees paid by you to CCGNinja in the 12 months preceding the claim, or (b) $100.

The Platform is provided "as is" and "as available" without warranties of any kind, express or implied. We do not guarantee uninterrupted access or that the Platform will be error-free.

14. Indemnification

You agree to indemnify and hold harmless Forgeborn, its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including reasonable attorney's fees) arising from your use of the Platform, your violation of these Terms, or your violation of any rights of another party.

15. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law principles.

16. Changes to These Terms

We may revise these Terms at any time by posting an updated version on this page. Material changes will be communicated to registered users via email or a prominent notice on the Platform at least 14 days before they take effect. Your continued use of the Platform after the effective date constitutes acceptance of the revised Terms.
